Terms of Service

Welcome to MapMy.City. These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and MapMy.City (“Company,” “we,” “us,” or “our”). By accessing or using the MapMy.City website, platform, APIs, mobile applications, or any related services (collectively, the “Service”), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

IF YOU DO NOT AGREE TO THESE TERMS, DO NOT ACCESS OR USE THE SERVICE.

1. Eligibility

You must be at least 13 years of age to use the Service. If you are between 13 and 18 years of age (or the age of legal majority in your jurisdiction), you may only use the Service with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms. By using the Service, you represent and warrant that you meet these eligibility requirements.

2. Account Registration & Security

Certain features of the Service may require account creation. When you create an account, you agree to:

Provide accurate, current, and complete information.
Maintain and promptly update your account information.
Maintain the security and confidentiality of your login credentials.
Accept responsibility for all activities that occur under your account.
Notify us immediately of any unauthorized access or use of your account.

We reserve the right to suspend or terminate your account at our sole discretion, with or without notice, for any conduct that we determine violates these Terms or is harmful to the Service, other users, or third parties.

3. Description of the Service

MapMy.City is a community-driven platform that provides:

An interactive map for posting and discovering local content, businesses, events, and community resources.
A City Operator licensing program for managing city-specific map territories.
Meshtastic/LoRa mesh-network node plotting and off-grid communication tools.
Direct and private messaging between users.
Voting, commenting, and community moderation features.
Business listing creation and management tools.

Map markers automatically expire and are cleared on a 24-hour cycle. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time without prior notice or liability.

4. User Content

4.1 Ownership

You retain ownership of all content you submit, post, or display through the Service (“User Content”). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with the operation and promotion of the Service.

4.2 Content Standards

You agree that your User Content will not:

Violate any applicable law, regulation, or third-party right, including intellectual property, privacy, or publicity rights.
Contain material that is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, or otherwise objectionable.
Promote sexually explicit or pornographic material, violence, or discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age.
Infringe any patent, trademark, trade secret, copyright, or other intellectual property or proprietary rights of any party.
Constitute unsolicited or unauthorized advertising, promotional materials, pyramid schemes, chain letters, spam, mass mailing, or any form of solicitation.
Contain any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity.
Involve the sale of illegal goods, services, or substances.
Contain personal or identifying information of another individual without their express consent.

4.3 Content Removal

We reserve the right, but are not obligated, to review, monitor, edit, or remove any User Content at our sole discretion, at any time and for any reason, without notice to you. We assume no liability for any action or inaction regarding User Content.

5. City Operator Program

The City Operator Program allows users to license and manage specific city territories on the platform. City Operators are subject to these additional terms:

City Operator licenses are non-transferable except with our prior written consent.
Operators must maintain the quality and integrity of content within their designated territory.
We reserve the right to revoke any City Operator license for violations of these Terms, inactivity, abuse, or any other reason at our sole discretion.
Fees, revenue sharing, and payment terms for City Operators are governed by separate agreements provided at the time of enrollment.
Operators are responsible for complying with all local laws and regulations applicable to their territory.

6. Prohibited Conduct

In using the Service, you agree NOT to:

Use the Service for any unlawful purpose or in violation of any applicable local, state, national, or international law.
Exploit, harm, or attempt to exploit or harm minors in any way.
Transmit any advertising, promotional material, or spam without our prior written consent.
Engage in any automated use of the system, including bots, scrapers, data miners, crawlers, or similar data-gathering or extraction methods.
Interfere with, disrupt, or create an undue burden on the Service, servers, or networks connected to the Service.
Attempt to gain unauthorized access to any portion of the Service, other accounts, computer systems, or networks connected to the Service.
Use any robot, spider, or other automatic device, process, or means to access the Service for any purpose, including monitoring or copying materials.
Introduce any viruses, Trojan horses, worms, logic bombs, or other malicious or technologically harmful material.
Attempt to reverse-engineer, decompile, disassemble, or otherwise derive the source code of the Service.
Circumvent, disable, or otherwise interfere with security-related features of the Service.
Use the Service to stalk, abuse, or harass another person.
Collect or store personal data about other users without their express permission.
Use any information obtained from the Service to contact, advertise to, solicit, or sell to any user without their prior explicit consent.

7. Intellectual Property Rights

The Service and its entire contents, features, and functionality — including but not limited to all information, software, text, displays, images, video, audio, design, selection, and arrangement — are owned by MapMy.City, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

The MapMy.City name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of MapMy.City. You may not use such marks without our prior written permission. All other names, logos, product and service names, designs, and slogans on this Service are the trademarks of their respective owners.

8. DMCA & Copyright Infringement

We respect the intellectual property rights of others. If you believe that any User Content on the Service infringes your copyright, you may submit a notice pursuant to the Digital Millennium Copyright Act (“DMCA”) by providing our designated copyright agent with the following information in writing:

A physical or electronic signature of a person authorized to act on behalf of the copyright owner.
Identification of the copyrighted work(s) claimed to have been infringed.
Identification of the material that is claimed to be infringing and information sufficient to locate it on the Service.
Your contact information (address, telephone number, and email address).
A statement that you have a good-faith belief that the use of the material is not authorized by the copyright owner, its agent, or the law.
A statement, under penalty of perjury, that the information in the notification is accurate and that you are authorized to act on behalf of the copyright owner.

9. Third-Party Services & Links

The Service may contain links to third-party websites, services, or content that are not owned or controlled by MapMy.City, including but not limited to mapping providers (OpenStreetMap, Leaflet), payment processors, and external APIs. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that MapMy.City shall not be responsible or liable for any damage or loss caused by or in connection with the use of any third-party websites or services.

10. Privacy

Your use of the Service is also governed by our Privacy Policy. Please review our Privacy Policy to understand our practices regarding the collection, use, and disclosure of your personal information. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. To the fullest extent permissible under applicable law, MapMy.City disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not warrant the accuracy, reliability, or completeness of any content, information, or materials available through the Service.

MapMy.City does not verify the identity of users, the accuracy of User Content, or the legitimacy of business listings, and makes no representations or warranties regarding the same. Any reliance on User Content or information obtained through the Service is at your own risk.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL MAPMY.CITY, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES (even if MapMy.City has been advised of the possibility of such damages), arising out of or relating to:

Your access to or use of, or inability to access or use, the Service.
Any conduct or content of any third party on the Service.
Any User Content obtained from or through the Service.
Unauthorized access, use, or alteration of your transmissions or content.
Any errors, mistakes, or inaccuracies of content.
Property damage, personal injury, or death resulting from your use of the Service.

In no event shall MapMy.City’s total aggregate liability to you for all claims arising out of or relating to the Service exceed the greater of (a) the amount you paid to MapMy.City in the twelve (12) months preceding the claim, or (b) one hundred U.S. dollars ($100.00).

13. Indemnification

You agree to defend, indemnify, and hold harmless MapMy.City, its directors, officers, employees, agents, partners, contractors, licensors, and suppliers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to: (a) your violation of these Terms; (b) your User Content; (c) your use of the Service; (d) your violation of any law or the rights of any third party; or (e) any negligent or intentional misconduct by you.

14. Dispute Resolution & Arbitration

14.1 Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to first contact us at our contact page to attempt to resolve the dispute informally. We will attempt to resolve the dispute by contacting you via email. If the dispute is not resolved within thirty (30) days of submission, either party may proceed as outlined below.

14.2 Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms, the Service, or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by binding arbitration, rather than in court. The arbitration shall be administered by a recognized arbitration organization under its applicable rules. The arbitrator’s decision shall be final and binding. Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.

14.3 Class Action Waiver

YOU AND MAPMY.CITY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. Unless both you and MapMy.City agree otherwise, the arbitrator may not consolidate or join more than one person’s or party’s claims and may not otherwise preside over any form of a consolidated, representative, or class proceeding.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the State in which MapMy.City is headquartered, without regard to its conflict-of-law provisions. You agree to submit to the personal and exclusive jurisdiction of the courts located within that jurisdiction for any actions not subject to arbitration.

16. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including without limitation ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

17. Modifications to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will make reasonable efforts to provide at least thirty (30) days’ notice prior to any new terms taking effect (e.g., by posting a prominent notice on the Service or sending an email). What constitutes a material change will be determined at our sole discretion. Your continued use of the Service following the posting of revised Terms means that you accept and agree to the changes.

18. Severability

If any provision of these Terms is held to be unenforceable or invalid by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable and valid, and the remaining provisions of these Terms will remain in full force and effect.

19. Waiver

No waiver by MapMy.City of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition, or a waiver of any other term or condition. Any failure by MapMy.City to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

20. Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices or agreements published by us on the Service, constitute the entire agreement between you and MapMy.City regarding your use of the Service. These Terms supersede any prior agreements, communications, or proposals, whether electronic, oral, or written, between you and MapMy.City with respect to the Service.
